Data Table Pro Individual Commercial License

This Data Table Pro Individual Commercial License (the "License") is an agreement between [SELLER LEGAL NAME], located at [SELLER ADDRESS, IF REQUIRED] ("Seller"), and the individual who purchases Data Table Pro ("Buyer"). Questions may be sent to [SELLER EMAIL].

1. Definitions

Licensed Software means the Data Table Pro commercial source code, styles, documentation, examples, updates, and other paid materials delivered by Seller, excluding Third-Party Materials.

Licensed Developer means the single natural person identified by the purchasing account. The License provides one developer seat.

End Project means a personal project, commercial application, or client project in which the Licensed Software is integrated as part of a larger finished product and is not offered as a reusable substitute for the Licensed Software.

Client Completed Application means a completed End Project delivered to a client in compiled, deployed, or application-source form as reasonably necessary for the client to use and maintain that application. It does not include transferring the Licensed Software as a separately usable component, package, library, template, boilerplate, starter, or source asset.

Downloaded Version means a version of the Licensed Software lawfully downloaded while Buyer had valid access to it.

Third-Party Materials means software, code, fonts, assets, or other materials owned by third parties and supplied under separate licenses.

2. License grant

Subject to payment and compliance with this License, Seller grants the Licensed Developer a perpetual, non-exclusive, non-transferable license to:

  • use the Licensed Software in unlimited personal, commercial, and client end projects;
  • modify the Licensed Software for those End Projects;
  • build, deploy, host, and distribute End Projects; and
  • permanently use all Downloaded Versions, including after the updates period ends.

This grant applies to one developer seat only. Every other developer who accesses or works with the Licensed Software source must obtain a separate license.

3. Client work

The Licensed Developer may deliver a Client Completed Application to a client and may include modified Licensed Software within that completed application. The client may use and maintain the Client Completed Application.

This permission does not transfer the License or allow the client, Buyer, or any other person to extract, reuse, share, publish, sell, or distribute the Licensed Software as a standalone or reusable asset. A client or contractor who needs separate access to the reusable Licensed Software source must obtain an appropriate license.

4. Restrictions

Buyer and the Licensed Developer must not:

  • share, lend, sublicense, assign, or otherwise transfer the Licensed Software or access credentials;
  • place the Licensed Software in a public repository or another location accessible to unlicensed persons;
  • resell, redistribute, or make the Licensed Software available on a standalone basis;
  • package or offer it as a component library, package, template, boilerplate, starter, website builder resource, low-code resource, or similar reusable development asset;
  • use it to create or supply a product whose primary purpose is to replace or substantially replicate Data Table Pro;
  • list or distribute it through a competing component, template, source-code, or digital-asset marketplace;
  • remove, obscure, or alter copyright, attribution, license, or proprietary notices that must remain under this License or an applicable third-party license; or
  • enable another person to do anything prohibited by this License.

Normal distribution of a Client Completed Application is allowed only as described in Section 3.

5. Updates and renewal

The purchase includes 12 months of updates beginning on the purchase date. Updates are not promised for any particular schedule, feature, or platform.

After that period, Seller may offer an optional renewal for continued access to future updates. Choosing not to renew does not terminate this License for Downloaded Versions. This License does not include or promise lifetime updates.

6. Installation support

Seller will provide reasonable installation support for 30 days beginning on the purchase date through [SELLER EMAIL]. Support is limited to reasonable help installing the delivered Licensed Software and understanding its documented setup.

Support excludes custom feature development, application architecture, general debugging, third-party integration work, data migration, production operations, training, and issues caused by unsupported modifications or environments. Support has no guaranteed response or resolution time and no service-level agreement.

7. Ownership

Seller retains ownership of Seller's original Licensed Software and all intellectual property rights not expressly granted by this License. Buyer owns Buyer's End Projects and Buyer's original modifications, subject to Seller's continuing ownership of the underlying Licensed Software and the restrictions in this License.

Third-Party Materials remain owned by their respective owners and are governed by their own license terms. Those terms are not replaced or restricted by this License. Applicable notices are provided in THIRD_PARTY_NOTICES.md.

8. Termination

This License terminates automatically if Buyer or the Licensed Developer commits a material violation of it and does not cure that violation within a reasonable period after notice when the violation is capable of cure.

Upon termination, Buyer and the Licensed Developer must stop using the Licensed Software and delete all copies under their control, except that lawfully distributed Client Completed Applications may continue to be used by their clients unless applicable law requires otherwise. Buyer must promptly delete or retrieve, where reasonably possible, all improperly distributed copies. Termination does not limit any other remedy available under applicable law.

9. Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSED SOFTWARE AND SUPPORT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Nothing in this License excludes a warranty, guarantee, or other right that cannot lawfully be excluded.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SELLER WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING FROM THE LICENSED SOFTWARE, SUPPORT, OR THIS LICENSE.

SELLER'S TOTAL LIABILITY ARISING FROM THE LICENSED SOFTWARE, SUPPORT, OR THIS LICENSE WILL NOT EXCEED THE AMOUNT BUYER PAID FOR THE LICENSED SOFTWARE. These limitations do not apply where liability cannot lawfully be limited or excluded.

11. General terms

Buyer may not assign or transfer this License without Seller's prior written consent. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver. This License and any terms presented at checkout form the entire agreement about the Licensed Software and supersede prior statements on that subject.

This License is governed by the laws of [GOVERNING JURISDICTION], without regard to conflict-of-laws rules, except to the extent mandatory law provides otherwise. Courts or tribunals with jurisdiction in [GOVERNING JURISDICTION] will hear disputes, subject to any non-waivable consumer rights.
